Terms of Business
Payment Terms:
Standalone Services:

A 50% upfront deposit is required to secure my time, with the remaining balance due upon completion of services.
Retained Services:

Payments are due in advance to the value of one month's service unless otherwise agreed upon.
Invoices:

Invoices are expected to be settled within 7 days of receipt.

Unpaid invoices may result in services being temporarily paused until settled.

Late payments may incur additional fees.
Third-Party Services:​

Charges for third-party services required will be invoiced through Nina Maria Designs.

Rest assured, I will ensure that third parties are paid promptly and in accordance with their payment terms.
Notice Period:
Termination:

If you have a retained services agreement with Nina Maria Designs and wish to terminate the agreement, please provide six weeks' written notice. This allows me to make the necessary adjustments to my schedule and ensure a smooth transition.

Upon termination, all outstanding fees and expenses incurred up to the termination date will become immediately due and payable.
Intellectual Property:

Intellectual property produced under this agreement will remain the exclusive property of the client.

Designs and artwork created will be fully owned by the client, granting them the freedom to use and apply them as they see fit.

As part of my portfolio, I retain mutual rights to showcase the designs and artwork.

I fully respect and honor any content that is deemed restricted from public sharing.

Editable versions of works are not transferrable to clients. The original design files will always remain the property of Nina Maria Designs.

Upon termination of any service agreement, all property, records, documentation, or confidential information will be promptly returned to the client.

Additionally, any access to online social platforms that are no longer required will be promptly removed.

I recognize the paramount importance of maintaining confidentiality and upholding your privacy. Rest assured, any information shared with me will be treated with the utmost confidentiality and will not be disclosed to any third parties without your explicit consent, except when required by law.
Data Protection:

I strictly adhere to all applicable data protection laws, including the General Data Protection Regulation (GDPR), in handling any personal data provided by you.

Your personal data will be processed and stored securely, and I will implement appropriate measures to safeguard against unauthorized access or loss.

If you have any specific requirements or concerns regarding the handling of personal data, please inform me in writing, and I will ensure your preferences are respected.
Cancellation Policy:
Cancellation by the Client:​

Deposits for booked services are non-refundable.

I understand that circumstances may arise where clients need to reschedule a booked service time. While I will do my best to accommodate such requests, rescheduling is subject to my availability.

Please note that I cannot guarantee the availability of alternative time slots.

Cancellation by Nina Maria Designs:

In the unlikely event that I need to cancel a booked service due to unforeseen circumstances such as illness, injury, or emergency, I will make every effort to reschedule the service at the earliest possible convenience for the client.

If rescheduling is not possible or if I am unable to continue providing the services, any upfront payments made by the client for the services cancelled will be promptly refunded.

Estimated Time Frame:

Upon reaching an agreement on services, I will provide you with an estimated time frame for the delivery of the final works.

Timely provision of all relevant briefs, image files, and required copy by the client is crucial in meeting the estimated delivery timeline.

I kindly request that feedback on any provided works be provided within 48 hours, unless we agree otherwise.

Delays in providing briefs, assets, or feedback may result in a corresponding delay in the delivery of services.

I will make every reasonable effort to keep you informed of any potential delays and work collaboratively to establish revised timelines if necessary.

Please be aware that the estimated time frame for delivery is subject to change based on project complexity, scope, and the responsiveness of the client.

I will proactively communicate any adjustments to the timeline, ensuring that you are kept well-informed throughout the process.

Finished Designs:

Once a design is approved by the client, it is considered final. Any subsequent amendments or changes requested by the client may incur additional costs and will be subject to the designer's availability.

The client bears the responsibility of providing the correct image files and text copy for the project. It is crucial that all text copy provided by the client is proofread for accuracy and completeness. The client should ensure that all necessary spelling and grammatical errors are thoroughly checked before granting final approval on the artwork.

The designer cannot be held liable for any errors or inaccuracies in the artwork or printed materials that have been approved by the client. It is the client's responsibility to carefully review and verify all content, including text, images, and design elements, before granting final approval.

Once the client has given their approval, the designer will proceed with the production and printing processes as agreed upon. Any reprints or corrections requested after the client's approval may result in additional costs and will be the responsibility of the client.

Liability and Indemnification:

I shall not be held liable for any damages, losses, or expenses incurred by the client arising from the use of the delivered works or any actions taken based on my advice or recommendations.

In no event shall Nina Maria Designs be liable for any indirect, consequential, or incidental damages, including but not limited to loss of profits, revenue, or data, arising out of or in connection with the services provided.
Indemnification:

The client agrees to indemnify and hold Nina Maria Designs harmless from any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising out of or related to:

The client's use of the delivered works or services.

Any breach of the terms of this agreement by the client.

Any violation of applicable laws or regulations by the client.

This indemnification obligation will survive the termination of any service agreement between the client and Nina Maria Designs.
By engaging my services, you acknowledge that you have read, understood, and willingly agreed to these Terms of Business. These terms are subject to change, and any updates will be promptly communicated to you.
